Lawyer's Planner Terms of Service

Thanks for using Lawyer's Planner! These terms of service ("Terms") cover your use and access to our services, client software and websites ("Services"). If you reside outside the United States of America, Canada and Mexico (“North America”) your agreement is with Lawyer's Planner International Unlimited Company and, if you reside in North America, your agreement is with Lawyer's Planner, Inc. Our Privacy Policy explains how we collect and use your information, whilst our Acceptable Use Policy outlines your responsibilities when using our Services. By using our Services, you're agreeing to be bound by these Terms, and to review our Privacy and Acceptable Use policies. If you're using our Services for an organisation, you're agreeing to these Terms on behalf of that organisation.

Your Stuff & Your Permissions

When you use our Services, you provide us with things like your information, cases, hearing, meeting, deadline, related contacts and notes and so on ("Your Stuff"). Your Stuff is yours. These Terms don't give us any rights to Your Stuff except for the limited rights that enable us to offer the Services.

We need your permission to do things like hosting Your Stuff, backing it up and sharing it when you ask us to. You give us permission to do those things, and this permission extends to our affiliates and trusted third parties we work with.

Sharing Your Stuff

Our Services let you share Your Stuff with others, so please think carefully about what you share.

Your Responsibilities

You're responsible for your conduct, Your Stuff and you must comply with our Acceptable Use Policy. Content in the Services may be protected by others' intellectual property rights. Please don't copy, upload, download or share content unless you have the right to do so.

We may review your conduct and content for compliance with these Terms and our Acceptable Use Policy. That said, we have no obligation to do so. We aren't responsible for the content people post and share via the Services.

Please safeguard your password to the Services, make sure that others don't have access to it, and keep your account information current.

Finally, our Services are not intended for and may not be used by people under the age of 18. By using our Services, you are representing to us that you're over 18.

Software

Some of our Services allow you to download client software ("Software") which may be updated automatically. As long as you comply with these Terms, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Software, solely to access the Services. To the extent any component of the Software may be offered under an open source licence, we'll make that licence available to you and the provisions of that licence may expressly override some of these Terms. Unless the following restrictions are prohibited by law, you agree not to reverse engineer or decompile the Services, attempt to do so, or assist anyone in doing so.

Our Stuff

The Services are protected by copyright, trademark and other IT and foreign laws. These Terms don't grant you any right, title or interest in the Services, others' content in the Services, Lawyer's Planner trademarks, logos and other brand features. We welcome feedback, but note that we may use comments or suggestions without any obligation to you.

We respect the intellectual property of others and ask that you do too. We respond to notices of alleged copyright infringement if they comply with the law, and such notices should be reported using our Copyright Policy. We reserve the right to delete or disable content alleged to be infringing and terminate accounts of repeat infringers.

Billing. You can increase your storage space and add paid features to your account (turning your account into a "Paid Account"). Apple Inc will automatically bill you from the date you convert to a Paid Account and on each periodic renewal until cancellation. You're responsible for all applicable taxes, and we'll charge tax when required to do so.

No Refunds. You may cancel your Lawyer's Planner Paid Account at any time but you won't be issued a refund unless it's legally required.

Downgrades. Your Paid Account will remain in effect until it's cancelled or terminated under these Terms. If you don't pay for your Paid Account on time, we reserve the right to suspend it or reduce your storage to free service levels.

Changes. We may change the fees in effect but will give you advance notice of these changes via a message to the email address associated with your account.

Termination

You're free to stop using our Services at any time. We also reserve the right to suspend or end the Services at any time at our discretion and without notice. For example, we may suspend or terminate your use of the Services if you're not complying with these Terms, or use the Services in a manner that would cause us legal liability, disrupt the Services or disrupt others' use of the Services. Except for Paid Accounts, we reserve the right to terminate and delete your account if you haven't accessed our Services for 12 consecutive months. We'll of course provide you with notice via the email address associated with your account before we do so.

Services "AS IS"

We strive to provide great Services, but there are certain things that we can't guarantee. TO THE FULLEST EXTENT PERMITTED BY LAW, LAWYER'S PLANNER AND ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT THE SERVICES. THE SERVICES ARE PROVIDED "AS IS". WE ALSO DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some places don't allow the disclaimers in this paragraph, so they may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT FOR ANY LIABILITY FOR LAWYER'S PLANNER’S OR ITS AFFILIATES’ FRAUD, FRAUDULENT MISREPRESENTATION OR GROSS NEGLIGENCE, IN NO EVENT WILL LAWYER'S PLANNER, ITS AFFILIATES, SUPPLIERS OR DISTRIBUTORS BE LIABLE FOR:

(A) ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR

(B) ANY LOSS OF USE, DATA, BUSINESS OR PROFITS, REGARDLESS OF LEGAL THEORY.

THIS WILL BE REGARDLESS OF WHETHER OR NOT LAWYER'S PLANNER OR ANY OF ITS AFFILIATES HAS BEEN WARNED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

ADDITIONALLY, LAWYER'S PLANNER, ITS AFFILIATES, SUPPLIERS AND DISTRIBUTORS WILL NOT BE LIABLE FOR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES FOR MORE THAN THE GREATER OF $20 OR THE AMOUNTS PAID BY YOU TO LAWYER'S PLANNER FOR THE PAST 12 MONTHS OF THE SERVICES IN QUESTION.

Some places don't allow the types of limitations in this paragraph, so they may not apply to you.

Resolving Disputes

Let's Try To Sort Things Out First. We want to address your concerns without needing a formal legal case. Before filing a claim against Lawyer's Planner, you agree to try to resolve the dispute informally by contacting support@lawyersplanner.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 15 days of submission, you or Lawyer's Planner may bring a formal proceeding.

Judicial forum for disputes. You and Lawyer's Planner agree that any judicial proceeding to resolve claims relating to these Terms or the Services will be brought in the federal or state courts of Rome County, Italy, subject to the mandatory arbitration provisions below. Both you and Lawyer's Planner consent to venue and personal jurisdiction in such courts.

No Class Actions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated or representative action. Class arbitrations, class actions, private attorney general actions and consolidation with other arbitrations aren't allowed.

Controlling Law

These Terms will be governed by Rome, Italy law except for its conflicts of laws principles, unless otherwise required by a mandatory law of any other jurisdiction.

Entire Agreement

These Terms constitute the entire agreement between you and Lawyer's Planner with respect to the subject matter of these Terms, and supersede and replace any other prior or contemporaneous agreements, or terms and conditions applicable to the subject matter of these Terms. These Terms create no third-party beneficiary rights.

Waiver, Severability & Assignment

Lawyer's Planner's failure to enforce a provision is not a waiver of its right to do so later. If a provision is found unenforceable, the remaining provisions of the Terms will remain in full effect and an enforceable term will be substituted reflecting our intent as closely as possible. You may not assign any of your rights under these Terms, and any such attempt will be void. Lawyer's Planner may assign its rights to any of its affiliates or subsidiaries, or to any successor in interest of any business associated with the Services.

Modifications

We may revise these Terms from time to time, and will always post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you (by, for example, sending a message to the email address associated with your account, posting on our blog or on this page). By continuing to use or access the Services after the revisions come into effect, you agree to be bound by the revised Terms.

Lawyer's Planner Privacy Policy

Thanks for using Lawyer's Planner. Here we describe how we collect, use and handle your information when you use our websites, software and services (“Services”).

What & Why

We collect and use the following information to provide, improve and protect our Services:

Account. We collect, and associate with your account, information like your name, surname and email address. Some of our services let you access your accounts and your information with other service providers.

Services. When you use our Services, we store, process, crypt and transmit your files (including stuff like cases, hering, meetings, deadlines) and information related to them (for example contacts and notes).

Usage. We collect information from and about the devices you use to access the Services. This includes things like device you use, and identifiers associated with your devices. Your devices (depending on their settings) may also transmit location information to the Services.

Cookies and other technologies. We use technologies like cookies to provide, improve, protect and promote our Services. For example, cookies help us with things like remembering your username for your next visit, understanding how you are interacting with our Services, and improving them based on that information. You can set your browser to not accept cookies, but this may limit your ability to use the Services.

With whom

We may share information as discussed below, but we won't sell it to advertisers or other third parties.

Others working for Lawyer's Planner. Lawyer's Planner uses certain trusted third parties (for example providers of customer support and IT services) to help us provide, improve, protect and promote our Services. These third parties will access your information only to perform tasks on our behalf in compliance with this Privacy Policy, and we'll remain responsible for their handling of your information in accordance with our instructions.

Other users. Our Services display information like your name and email address to other users in places like your user profile and sharing notifications. Certain features let you make additional information available to other users.

Law & Order. We may disclose your information to third parties if we determine that such disclosure is reasonably necessary to (a) comply with the law; (b) protect any person from death or serious bodily injury; (c) prevent fraud or abuse of Lawyer's Planner or our users; or (d) protect Lawyer's Planner's property rights.

Stewardship of your data is critical to us and is a responsibility that we embrace. We believe that our users' data should receive the same legal protection regardless of whether it's stored on our Services or on their home computer's hard drive. We'll abide by the following Government Request Principles when receiving, scrutinising and responding to government requests (including national security requests) for our users' data:

How

Security. We have a team dedicated to keeping your information secure and testing for vulnerabilities. We also continue to work on features to keep your information safe in addition to things like SSL protocol, encryption of files at rest, and alerts when new devices and apps are linked to your account.

Retention. We'll retain information you store on our Services for as long as we need to do so to provide you the Services. If you delete your account, we'll also delete this information. But please note: (1) there might be some latency in deleting this information from our servers and backup storage; and (2) we may retain this information if necessary to comply with our legal obligations, resolve disputes or enforce our agreements. You can access your personal information by logging in to your Lawyer's Planner account.

Where

Europe. To provide you with the Services, we may store, process and transmit information in the Europe and locations around the world - including locations outside your country. Information may also be stored locally on the devices you use to access the Services.

Changes

If we are involved in a reorganisation, merger, acquisition or sale of our assets, your information may be transferred as part of that deal. We will notify you (for example, via a message to the email address associated with your account) of any such deal and outline your choices in that event.

We may revise this Privacy Policy from time to time, and will post the most current version on our website. If a revision meaningfully reduces your rights, we will notify you.

You agree not to misuse the Lawyer's Planner services ("Services") or help anyone else to do so. For example, you must not even try to do any of the following in connection with the Services:

Lawyer's Planner’s Government Data Request Principles

We understand that when you entrust us with your digital life, you expect us to keep your stuff safe. Stewardship of your data is a responsibility we embrace. Like other online services, Lawyer's Planner sometimes receives requests from government and law enforcement agencies seeking information about our users. Government data requests typically include things like search warrants, subpoenas, and court orders. These principles describe our approach to handling the requests we receive, how and when we resist improper requests, and how we’ll work to improve laws to make them more protective of our users’ privacy.

Be transparent: Online services should be allowed to publish the number and types of government requests they receive, and to notify individuals when information about them has been requested. This type of transparency empowers users by helping them better understand instances and patterns of government overreach. We’ll continue to publish detailed information about these requests and advocate for the right to provide more of this important information.

Be open about the number of requests we receive

We believe in reporting the exact number of government data requests received, the laws used to justify them, and the number of accounts affected. That’s why we publish this information (to the extent the law permits) in our Transparency Report. Our Transparency Report lists the number of court orders, search warrants, subpoenas, and government removal requests we have received, and our responses. We also provide as much detail about US national security requests as the law allows. Unfortunately, our report cannot currently include the exact number we receive — if any. We’ve urged the courts and the government to allow services like Lawyer's Planner to disclose the precise number of national security requests they receive and the number of accounts affected. We’re committed to and will continue fighting on this front.

Let users know when their information is requested

We believe in providing notice to our users when a government requests their information and have fought in court to do so. However, government requests frequently include a court-granted non-disclosure order, which prohibits us from giving notice to the affected user. In cases where we receive a non-disclosure order, we notify the user when it has expired. We believe services like Lawyer's Planner should always be permitted to provide notice to affected users, and will continue advocating for this important goal.

Fight overly broad requests: Government data requests should be limited in the information they seek and narrowly tailored to specific people and legitimate investigations. We’ll resist blanket and overly broad requests.

In the past, governments sought from telecommunications companies the phone records of large groups of people without suspicion that those people had been involved in illegal activity. We don’t think this is legal, and will resist requests that seek information related to large groups of people or that don’t relate to specific investigations. We’ll also resist requests stemming from government investigations that are improper, illegitimate, or have been brought in bad faith — for example, government attempts to suppress or censor political speech.

Provide trusted services: Governments should never install backdoors into online services or compromise infrastructure to obtain user data. We’ll continue to work to protect our systems and to change laws to make it clear that this type of activity is illegal.

We’ve seen reports that governments have been tapping into data center traffic of certain service providers. We don’t believe this is right. Governments should always request user data by contacting online services directly and presenting legal process. This allows services like Lawyer's Planner to scrutinize the data requests and resist where appropriate.

Protect all users: Laws that give people different protections based on where they live or their citizenship are antiquated and don’t reflect the global nature of online services.

We’re committed to providing the same level of protection to all of our users. That means using these principles to scrutinize all the requests we receive, regardless of the origin of the request or user. It also means extending fundamental privacy protections to all users: government data requests shouldn’t be in bulk, they should relate to specific individuals and investigations, and a judicial body should evaluate and sign off on requests for content before they’re issued.

These principles will guide us in safeguarding fundamental privacy protections for all users and ensuring that governments are held accountable by the public.
